Trade Name Reservation

Name Clearance

Check the availability and suitability of your proposed trade name before completing registration. A reserved name helps keep your company documents and public business identity consistent.

When it applies: Relevant when registering a new business or changing its trade name. Naming conditions depend on the proposed name and legal form; a trade name reservation does not replace trademark protection.
Prepare: Preferred names, proposed activities and ownership details.

Foreign Investment Registration

MISA / Invest Saudi

Review the investment registration route for your proposed activity and ownership. Foreign investors must register with MISA before investing under the updated Investment Law, then complete commercial registration and any necessary operating licences.

When it applies: The route and supporting documents depend on investor status, ownership and activity. Restricted activities may need additional approvals; an investment registration alone does not complete business setup.
Prepare: Investor information, proposed activities and the supporting documents required for your investment route.

Company Formation & Registration

Company Formation & CR

For a company, agree its legal form, partners, ownership shares and management arrangements, and prepare the applicable Articles of Association or bylaws. Complete incorporation and Commercial Registration (CR) through the relevant Saudi Business Center service.

When it applies: An individual establishment, company and foreign branch follow different routes. Company formation documents are not identical for every legal form, and regulated activities may require additional approvals.
Prepare: Owner or partner details, legal form, proposed activities, company formation documents and required approvals.

Membership & Business Support

Chamber of Commerce

Check the Chamber subscription or membership connected with your establishment and the services it needs. Keep registration and authorised contact details accurate so relevant Chamber services can be accessed.

When it applies: Confirm the applicable membership, charges and service requirements for your establishment. Chamber membership does not replace your CR or activity-specific operating licences.
Prepare: CR details and authorised contact information.

Tax, VAT & E-invoicing

ZATCA & FATOORA

Identify the tax obligations relevant to your ownership and activities, and assess whether VAT registration applies. Where e-invoicing rules apply, use a compliant electronic invoicing solution; Phase Two requires integration with ZATCA when your business falls within a notified wave.

When it applies: VAT registration depends on taxable supplies and the applicable rules, rather than simply holding a CR. FATOORA requirements and integration timing must be checked separately. A scanned invoice is not a compliant electronic invoice.
Prepare: Ownership and business details, financial records, taxable supplies information and invoicing software readiness.

Employment & Establishment Services

Qiwa

Organise your establishment profile and authorised access for employment services such as contract management and work permits. Keep business and employee information aligned so the applicable workforce processes can be completed.

When it applies: Relevant when the establishment uses employment services. Available processes and eligibility depend on the workforce, establishment status and the rules for each service; work permit processes concern eligible non-Saudi workers.
Prepare: Establishment information, authorised access, employee details and employment contract information.

Resident Employee Services

Muqeem

Muqeem enables establishments to review resident employee information and complete supported passport and residency-related transactions electronically. Accurate records and controlled access help keep these processes organised.

When it applies: Relevant to establishments managing resident employees and supported transactions. The appropriate subscription and services depend on workforce needs; it is not an investment registration or company formation service.
Prepare: Establishment profile, authorised user details and resident employee information.

Employer & Social Insurance Services

GOSI

Maintain the establishment profile and register workers covered by the applicable social insurance rules. Keep contributor information and wages up to date, and review the contributions and records relevant to your workforce.

When it applies: Coverage and contribution treatment depend on worker eligibility and the applicable scheme. Saudi and non-Saudi employees can have different coverage; do not assume one contribution rate applies to everyone.
Prepare: Establishment information, employee identification and wage records.

Payroll & Wage Protection

Mudad / WPS

Organise salary payments and the records needed for the Wage Protection System. Mudad supports payroll and wage protection processes, helping establishments document payments and address applicable compliance matters.

When it applies: Confirm whether your establishment is covered by WPS and which payroll service it uses. Payroll software and wage protection reporting have related but different roles; requirements depend on the establishment and its workforce.
Prepare: Employee and payroll records, salary payment information and the required wage protection data.

Saudi Workforce Planning

Saudization / Nitaqat

Review the Saudization requirements and Nitaqat classification relevant to your establishment before planning recruitment. Use the applicable official tools to understand the position of your workforce and support ongoing staffing decisions.

When it applies: Requirements vary with economic activity, workforce size and applicable classifications. Specific occupations or sectors may have additional localisation rules, so one fixed hiring percentage should not be applied to every business.
Prepare: Business activity, current workforce, employee classifications and planned hires.

Banking for Your Business

Business Bank Account

Choose a suitable business bank and prepare the documents it requests for account opening and verification. Keep company, ownership and authorised signatory information consistent with your registrations.

When it applies: Documentation, verification and approval depend on the selected bank, legal form and ownership profile. Account opening is a bank decision; requirements and timelines should be confirmed for your business.
Prepare: Registration documents, ownership information, authorised signatory details and any further documents requested by the bank.

Premises & Activity Licensing

Balady / Baladiya

Check the municipal licensing conditions for your business activity and premises before committing to a location. Review permitted use, property documents and any applicable technical, safety or sector approvals.

When it applies: Requirements differ for activities such as food businesses, retail and professional services. The premises and activity determine the applicable conditions; a CR alone does not replace a required municipal or sector licence.
Prepare: Activity details, premises information, tenancy or ownership documents and the approvals required for that location.

Official Business Address

SPL / National Address

Register and maintain the establishment National Address so official and commercial transactions use a clear, consistent business location. Keep the address aligned across relevant registrations and accounts.

When it applies: Relevant to business address registration. The location details and address records must reflect your establishment; registering an address does not by itself authorise an activity or approve the premises.
Prepare: Accurate building and location details, establishment information and the address records required by SPL.

Your exact sequence and requirements depend on business activity, ownership, staffing and the relevant authorities. Some steps run in parallel or apply only when needed.
